P4 became the sole shareholder of the 3S Group (indirectly also subsidiaries). The total transaction value amounted to € 96m (PLN 410m).

P4 holds all shares of the 3S Group

According to a communiqué issued by Play Communications, the agreement (announced on 26 June) under which P4 acquired all the shares of the 3S Group companies – the Katowice owner of regional fibre-optic networks and data centers – was finalized on 19 August.

The total value of 3S and its subsidiaries (3S Data Center, 3S Fibertech and 3S BOX) amounts to € 96m (PLN 410m), while the value of equity amounts to € 78m (PLN 333m). The acquisition was financed from own funds and based on external financing available to P4. The selling parties were Ambrosia CEE Holding S.à r.l. (part of Polish Enterprise Fund VII, a private equity fund managed by Enterprise Investors) and three founders of 3S, which are minority shareholders.

The 3S Group will retain its organisational separation and will operate in accordance with its existing strategy, extended by a significant extension of its own optical fibre network and elements of business synergy with Play.

P4 and 3S synergy – towards the development of the 5G standard

The acquisition of the 3S Group is to support the implementation of the P4 strategy in the future, aimed at, among others, quick connection of the existing and planned base stations of a mobile operator to the 3S Group’s optical fibre network, in connection with the development of the 5G standard.
