Orange Polska acquires BlueSoft

Orange Polska signed a preliminary agreement to acquire 100% of shares in BlueSoft. The acquisition is an important step in the implementation of Orange Polska’s strategy in the ICT market.

Competencies in the area of ICT

BlueSoft specializes in creating software and applications for business. Thanks to this, the operator gains key competences for the development of a full offer for the digitalization of Polish companies.

BlueSoft will give us competences that perfectly complement our offer for business. Thanks to this, we will create comprehensive end-to-end IT solutions including – apart from telecommunication services, IT infrastructure, hosting and security already implemented by Orange and Integrated Solutions – also applications tailored to the needs of companies enabling their further development in the digital world – said Bożena Leśniewska, Vice President of the Management Board for the Orange Polska Business Market, quoted in the press release of Orange Polska.

Transaction worth PLN 200 million

The value of the transaction is about PLN 200 million. Out of this amount, approximately PLN 149 million has been allocated to
be paid after the signing of the final contract. The rest is to be
settled before the end of 2022 and be based on BlueSoft’s achievement
specific financial targets in 2019 and 2020, and subject to
the fulfilment of certain other legal conditions. The sellers are Tokajami Limited and Wellchosen Investments Limited. The signing of the final purchase agreement will take place after obtaining the OCCP’s consent to the transaction. After joining the Orange group, BlueSoft is to remain a separate company.

BlueSoft: 650 professionals and PLN 120 million revenues

BlueSoft has been operating on the market for 15 years and employs about 650 people, mainly consultants and programmers. The company generates about PLN 120 million of revenue annually. According to the information provided by the company, BlueSoft services are used by over 80 companies in Poland and abroad. The company sells its solutions to customers from the following industries: banking and insurance, public utility companies, pharmacy, telecommunications and logistics.
